Service Agreement

1. Parties

This Agreement is between Archiva ("Service Provider") and the Client.

2. Scope of Services

We will:

  • Design and build a custom website for the Client
  • Configure integrations with third-party services (including Supabase, Netlify, Stripe, YouTube, Spotify where applicable)
  • Deploy the website to infrastructure owned or controlled by the Client

We may also provide ongoing services under a Managed Services plan, including content management as set out below.

3. Service Models

The Services may be provided under one of the following models:

(a) Build and Handover

We build and deploy the website, after which full control and responsibility transfers to the Client.

(b) Managed Services

We provide ongoing maintenance and support, including optional content management, as described in Section 8.

4. Nature of Relationship

We act as an independent contractor. We do not own or operate the Client's platform, except to the extent required to deliver Managed Services.

5. Third-Party Services

The website relies on third-party providers including Supabase, Netlify, Stripe, YouTube, and Spotify.

The Client:

  • Owns these accounts
  • Is responsible for compliance with their terms
  • Pays all associated fees

We are not responsible for outages, API changes, or enforcement actions by these providers.

6. Credentials and Access

The Client may provide credentials (including API keys and account access). We will:

  • Use them solely to deliver the Services
  • Take reasonable steps to protect them

The Client remains responsible for credential security and may revoke access at any time.

7. Content Responsibility (Critical Clause)

The Client retains full responsibility for all content made available through the website, including:

  • Copyright compliance
  • Compliance with platform policies (including API usage rules)
  • Accuracy and legality of content

Where we assist with uploading, organising, or managing content, we do so strictly on the Client's instructions. We do not assume ownership, authorship, or legal responsibility for such content.

8. Managed Services (Including Content Management)

Where a Managed Services plan is in place, we may:

  • Maintain and update the website
  • Manage and organise content within the platform (e.g. categorisation, structuring, uploading based on Client direction)
  • Assist in keeping the content library current and functional

This may include handling private or restricted content where access has been provided.

However, Managed Services:

  • Do not include editorial control or legal review of content
  • Do not guarantee performance, engagement, or monetisation outcomes
  • Do not include responsibility for compliance with laws or third-party policies

We reserve the right to refuse to upload or manage content that we reasonably believe breaches the Acceptable Use Policy or applicable law.

9. Handover

Under the Build and Handover model, or upon termination of Managed Services:

  • Control of infrastructure remains with or transfers fully to the Client
  • The Client assumes responsibility for operation, maintenance, security, and content

We are not responsible for the website after handover unless separately agreed.

10. Fees and Service Plans

The Client agrees to pay fees based on the selected Service Plan as outlined below.

Personal Plan:

  • £250 one-time setup fee
  • £14.99 per month

Includes:

  • Up to 150 videos
  • Up to 5 series and 5 collections
  • Up to 100 people tags
  • Up to 10 users

Solo Plan:

  • £750 one-time setup fee
  • £49.99 per month

Includes:

  • Up to 500 videos
  • Up to 15 series and 20 collections
  • Up to 500 people tags
  • Up to 50,000 users
  • Relationship graphs
  • "Most appeared with" insights
  • Life barcode visualisations

Studio Plan:

  • £1,500 one-time setup fee
  • £99.99 per month

Includes:

  • Up to 10,000 videos
  • Up to 500 series and 1,000 collections
  • Up to 2,000 people tags
  • Up to 100,000 users
  • Paid member subscriptions (via third-party providers)
  • Multiple admin accounts

11. Plan Limits and Enforcement

All plan limits are strict caps. Once a limit is reached, the system will prevent further uploads or creation of additional content until:

  • Content is reduced, or
  • The Client upgrades to a higher plan

12. Payment Terms

  • Setup fees are payable in advance of work commencing
  • Monthly fees are billed in advance
  • Failure to pay ongoing fees may result in suspension of Managed Services and/or the website after 30 days of non-payment

13. Changes to Pricing

We reserve the right to update pricing with reasonable notice. Existing Clients will be notified in advance before any pricing changes take effect.

14. Third-Party Costs

All third-party costs (including hosting, database usage, and payment processing via services such as Stripe) are the responsibility of the Client and are not included in the above fees.

15. Refunds

Fees are non-refundable except where required by law.

16. Intellectual Property

  • The Client owns their content, branding, and data
  • We retain ownership of underlying systems, code, and methodologies

The Client is granted a licence to use the delivered website for their business.

17. Confidentiality

We will treat all Client data, credentials, API keys, and private content as confidential and will not disclose them except as required to perform the Services.

18. Data Protection

Where we process personal data on behalf of the Client:

  • The Client is the data controller
  • We act as a data processor

We will:

  • Process data only on the Client's instructions
  • Implement reasonable security measures
  • Not use data for our own purposes

19. Limitation of Liability

We are not liable for:

  • Third-party service failures
  • Loss of data stored on external platforms
  • Security breaches outside our control
  • Legal issues arising from Client content or API usage

Our total liability is limited to the fees paid by the Client in the previous 12 months.

20. Termination

Either party may terminate with reasonable notice.

Managed Services (including content management) cease upon termination.

21. Governing Law

This Agreement is governed by the laws of England and Wales.
